These Terms of Service ("Terms") govern your access to and use of services provided by Jermaine Hawkins ("we", "us", "our"). By purchasing or using our services, you agree to these Terms.
1. Services
We provide software development services, including but not limited to custom web application development, mobile application development, AI / ML integration, and cloud & DevOps engineering. Specific deliverables, timelines, and acceptance criteria are defined in each Statement of Work ("SOW").
2. Fees and payment
- Fees are listed in USD and are due at checkout or per the invoice schedule in your SOW.
- All payments are processed by Stripe, Inc. You agree to Stripe's terms in addition to ours.
- Recurring engagements (retainers) auto-renew until cancelled with 30 days' notice.
- Late payments accrue interest at 1.5% per month or the maximum permitted by law.
3. Intellectual property
Upon full payment, we assign to you all right, title, and interest in the custom deliverables produced under your SOW, excluding pre-existing materials, open-source components, and reusable tooling, which we license to you under a perpetual, non-exclusive, royalty-free license.
4. Confidentiality
Each party will protect the other's confidential information with the same care as it protects its own, and will not disclose it except as required to perform the services or by law.
5. Warranties and disclaimers
We warrant that services will be performed in a professional manner. Except as expressly stated, services and deliverables are provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability under these Terms is limited to the fees paid to us in the twelve (12) months preceding the claim.
7. Termination
Either party may terminate an SOW for material breach that remains uncured for 15 days after written notice. Fees for work performed through termination remain due.
8. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
9. Prohibited use
You agree not to use our services for any unlawful purpose, including fraud, infringement, or violation of any applicable regulation.
